The best way is to partitioning the usbstick with fdisk/cfdisk and
format with "mkfs.vfat -F 32 ${USBDEVICE_PARTITION}" (FAT32).

Today, I have update my own stick with grml(64)-small and grml(64)-full
with grml2usb. It is a perfect tool for this. ;-)
